Effective March 23rd 2026
This Service Agreement ("Agreement") is a legally binding contract between ESC Home Services Academy ("the Academy") and the Client ("the Student"). By purchasing the services provided by ESC Home-Services Academy, the Student acknowledges and agrees to the following terms and conditions required for enrollment and participation.
Ownership: All curriculum, "Blueprints," scripts, and calculators are the proprietary property of the Academy.
Anti-Piracy: Sharing login credentials or redistributing Academy materials is strictly prohibited. Violations will result in immediate expulsion without refund and potential legal action for liquidated damages starting at $10,000.
Digital Monitoring: The Academy uses IP tracking to monitor account sharing. Multiple concurrent logins from different locations will trigger an automatic account freeze.
Zero-Tolerance Negativity: The Academy community is for professional growth. Toxic behavior, disparagement of the Academy, or harassment of peers will result in immediate removal.
Non-Solicitation: Students are prohibited from "poaching" other members for outside services or competing coaching programs.
Safe Operations: The Student agrees to follow the Academy's "Gold Standard" for contractors: mandatory background checks, signed subcontractor agreements, and verified $1M liability insurance.
Coaching is a premium resource intended for strategic problem solving, not basic curriculum review.
Recordkeeping & Privacy
Session Recording: All coaching sessions are recorded for quality assurance and student review. By participating, the student consents to being recorded.
Confidentiality: All business data shared during a 1-on-1 session is strictly confidential. However, "Wins" or "Breakthroughs" may be shared with the broader Academy community for educational purposes, unless the student explicitly requests otherwise in writing.
Strategic Guidance: Coaches provide frameworks, critiques of student work (e.g., reviewing a landing page), and high-level strategy.
Non-Implementation: Coaches will not perform tasks for the student (e.g., setting up their Facebook Pixel, writing their LLC operating agreement, or calling their contractors). The student is the CEO; the Coach is the Advisor.
Professionalism & Conduct
Environment: Students must be in a quiet, professional environment for calls (no driving, loud public spaces, or distracting background activity).
Mutual Respect: Disrespectful, aggressive, or inappropriate behavior toward a Coach will result in the immediate termination of the coaching relationship and potentially the student's enrollment, without refund.
Student Requirements:
Show up to to your scheduled call with an open mind, ready to learn, ask questions, and take action. Growth begins the moment you commit to the process.
Pre-Call Brief: Students must submit a Pre-Call Progress Report 12 hours before any 1-on-1 session. Failure to prepare may result in the Coach canceling the session. Commit to spending a minimum of four (8) hours each week working on your business. This is your time to build, refine, and grow with intention.
Take what you learn and implement it with purpose. Information alone won’t create change—real progress happens when you take action and apply what you’ve learned.
Keep in contact with your assigned Coach/Mentor(s) to share updates on your progress, challenges, and the wins you've achieved through implementing ideas, strategies, and actions from this program. Just as you're investing your time and energy, your Coach/Mentor is investing knowledge and support to help your business succeed. Together, we want to ensure you're seeing the ROI (Return on Investment) we both expect.
Right to Reschedule: If a student arrives unprepared or has not completed the prerequisite requirements, the Coach reserves the right to end the session early without a refund or credit.
The "No-Show" Forfeiture: Any session missed without 24-hour notice is considered "forfeited." It will not be replaced, credited, or refunded.
Late Arrival: Coaches will wait in the digital meeting room for 10 minutes. If the student has not joined by the 10-minute mark, the session is cancelled and forfeited.
Termination of Coaching Services:
The Academy reserves the right to reassign a student to a different coach or terminate coaching privileges if a student:
Fails to take action on agreed-upon "Homework" for three consecutive sessions.
Displays a pattern of late arrivals or cancellations.
Violates any part of the Academy’s Code of Conduct.
Professional Conduct & "Growth-First" Mindset
Solution-Oriented Interaction: All posts must be constructive. If you are identifying a problem, you must also propose a potential solution or a specific question for the mentors.
Zero-Tolerance for Negativity: Publicly disparaging the Academy, its curriculum, or other students is strictly prohibited. "Vent" posts that do not seek a strategic resolution will be removed, and the user may be placed on a 48-hour "read-only" probation.
Respectful Debate: Differences in business strategy are expected, but personal attacks, condescending tones, or harassment will result in immediate and permanent expulsion.
Strict Non-Solicitation & Anti-Poaching
No Self-Promotion: You are here to learn the ESC model, not sell your own. Promoting your own coaching, VA services, software, or affiliate links is strictly prohibited unless specifically requested by a moderator.
Anti-Poaching Clause: Any attempt to "poach" students into outside groups, unauthorized "masterminds," or competing programs will result in immediate termination of your Academy access without refund.
DM Policy: Sending unsolicited Direct Messages (DMs) to other members for the purpose of selling services is a "One-Strike" offense.
Privacy & Confidentiality
The "Vault" Rule: What happens in the Community stays in the Community. Sharing screenshots of peer business data, internal strategies, or mentor advice outside of the platform is a breach of your [Service Agreement] and will lead to legal action.
Protection of PII: Do not post sensitive Personal Identifiable Information (PII) of your clients or contractors (e.g., full addresses, phone numbers, or social security numbers) in public threads.
Content & Participation Standards
Correct Channel Usage: Posts must be made in the appropriate category (e.g., #Hiring, #Marketing, #Wins). Off-topic posts will be moved or deleted by moderators.
Credible Sourcing: When sharing external advice, you must credit the original source. Sharing "leaked" or pirated content from other programs is strictly forbidden.
Moderation & Enforcement
The Three-Strike Rule:
Strike 1: Formal warning and post removal.
Strike 2: 7-day suspension from all community channels.
Strike 3: Permanent ban from the Academy without refund.
Moderator Discretion: Moderators reserve the right to bypass the Three-Strike rule for severe violations, such as hate speech, piracy, or blatant poaching.
All downloadable materials provided by ESC Home Services Academy—including but not limited to spreadsheets, hiring scripts, legal templates, marketing graphics, and calculators (collectively, "the Resources")—are the exclusive property of the Academy. Access to these Resources is granted under a Limited, Non-Exclusive License.
Permitted Use (The "Business Builder" License)
Internal Use Only: You are granted a license to use the Resources solely for the purpose of building and operating your own personal remote cleaning business.
Customization: You are encouraged to modify the templates (e.g., adding your logo to a Subcontractor Agreement) for use within your specific business entity.
Strict Prohibitions (The "No-Resell" Clause)
No Redistribution: You may not share, email, upload to a public drive, or distribute any Resource to individuals who are not active members of the Academy.
No Competing Use: You are strictly prohibited from using Academy Resources to create, market, or sell your own coaching program, course, or "business-in-a-box" service.
Anti-Piracy Watermarking: Many of our Resources are embedded with hidden digital watermarks. If a Resource is found on a "group-buy" or "piracy" site, we will trace the watermark back to the source account for immediate termination and legal action.
Liability & Legal "As-Is" Status
Not Legal Advice: All legal templates (e.g., Independent Contractor Agreements) are provided for educational purposes only. Laws vary by state and country. The Academy is not a law firm. You are required to have a local attorney review any template before execution.
Accuracy of Calculators: Profit and tax calculators are tools for estimation. The Academy is not responsible for financial errors, tax liabilities, or business losses resulting from the use of these tools.
Access Termination
Revocation of License: Upon termination of your membership (whether by choice or due to a policy violation), your license to use the "Master Templates" provided by the Academy is revoked. You may continue to use the documents you have already implemented in your business, but you lose access to updates and new versions.
Download Limits: To prevent "bulk-scraping," the Academy may impose a daily limit on the number of resources a single user can download.
Updates & Maintenance
The Academy reserves the right to update or remove Resources at any time to reflect changing laws, software updates, or market conditions.
Entire Agreement: This Service Agreement, including the incorporated Community Forum ,Downloadable Resource, and Couch & Mentorship policies, constitutes the entire agreement between the Student and ESC Home Services Academy. No verbal promises, Slack messages, or social media comments shall modify these terms.
Severability: If any part of this Agreement is found to be unenforceable by a court of law, the remaining sections shall remain in full force and effect.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia. Any legal disputes arising from this Agreement shall be settled via binding arbitration in Newport News Virginia.
Modification of Terms: The Academy reserves the right to update these policies to reflect changes in law or business operations. Students will be notified of material changes via the primary email address on file.
Automatic Agreement: By purchasing any course, coaching package, resources, or membership from ESC Home Services Academy, the Student acknowledges and enters into this Service Agreement in its entirety.
Execution by Transaction: Financial transaction (payment) constitutes a "Digital Signature." The Student agrees that the act of submitting payment and accessing the Academy portal serves as a binding electronic record of their acceptance of all terms, including the No-Refund Policy and Intellectual Property protections.
Conflict of Terms: This Agreement supersedes any prior oral or written communications. In the event of a dispute, this document serves as the final authority.
Effective Date: This Agreement is effective immediately upon the date and time of the initial purchase or account creation.
